Terms of Service

By accessing or using praximalabs.com (the "Site") you agree to these Terms of Service. If you do not agree, please do not use the Site.

Praxima Labs ("Praxima," "we," "us") provides AI strategy, systems implementation, and training for service businesses, through two offerings: Contractor OS and the Fractional Chief AI Officer engagement. We configure, connect, and train teams on AI systems. We do not build bespoke custom software as a deliverable.

The Site is intended for business use. By using it you confirm that you are at least 18 years old and that you have authority to act for the business you represent.

The AI Readiness Diagnostic, scores, benchmarks, and any content on the Site are provided for general informational purposes only, on an as-is basis. Your score and any recommendations are estimates meant to help you assess your own business. They are not professional, legal, financial, tax, or investment advice, and you should not rely on them as a substitute for advice from a qualified professional.

Business outcomes depend on many factors outside our control, including your market, your team, and how the work is carried out. We do not guarantee any specific revenue, savings, lead volume, or other result from the Site, the diagnostic, or our services.

The scope, fees, deliverables, and timing of any paid service are set out in a separate written services agreement or statement of work signed by both parties. If anything in that agreement conflicts with these terms, that agreement controls for that engagement.

The Site, its content, the Praxima Labs name and marks, and our methods and frameworks, including the AI Readiness Diagnostic and our strategy framework, are owned by Praxima Labs and protected by law. We grant you a limited, personal, non-transferable license to use the Site for its intended purpose. You may not copy, scrape, resell, or create derivative works from the Site without our written permission.

You agree not to use the Site in any unlawful way, infringe anyone's rights, upload harmful code, attempt to gain unauthorized access, scrape or harvest data, or interfere with the operation of the Site.

The Site relies on and may link to third-party services and websites we do not control. We are not responsible for their content, practices, or availability, and your use of them is at your own risk and subject to their terms.

The Site and all tools and content on it are provided on an as-is and as-available basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

To the fullest extent permitted by law, Praxima Labs and its founders and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenue, arising from your use of the Site. Our total liability for any claim relating to the Site is limited to one hundred US dollars (USD 100). Liability arising from a paid engagement is governed by the separate agreement for that engagement.

You agree to indemnify and hold harmless Praxima Labs from any claims, losses, or expenses arising out of your misuse of the Site or your violation of these terms or of any law or third-party right.

These terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute relating to these terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.
